Terms and Conditions

    1. Scope

    These General Terms and Conditions apply to all contracts between Viali (hereinafter "Provider") and users of the Viali platform (hereinafter "Customer"). Deviating terms of the Customer are not recognised unless the Provider expressly agrees to them in writing.

    2. Services

    Viali provides the Customer with a cloud-based software solution for clinic management. The scope of services is defined in the respective contract or proposal. The Provider is entitled to further develop and adapt the services, provided this is reasonable for the Customer.

    3. Contract Conclusion and Duration

    The contract is concluded upon written confirmation by the Provider. Subscriptions run on a monthly rolling basis with no minimum term. Either party may cancel at the end of any calendar month with no exit fees. We believe you stay because the product is compelling, not because the contract forces you.

    4. Pricing and Payment

    Billing is usage-based per record (surgery or treatment) in CHF. Current prices are available at viali.app/#pricing. Invoices are payable within 30 days of issue.

    5. Data Protection and Security

    Processing of personal and health-related data is carried out in accordance with applicable data protection law (GDPR, Swiss FADP/DSG) and the separate Data Processing Agreement (DPA). The Provider implements all necessary technical and organisational measures to protect the data.

    6. Availability and Support

    The Provider targets a system availability of 99.9% (measured monthly, excluding scheduled maintenance windows). Support is available by email and phone during business hours (Mon–Fri, 08:00–18:00 CET).

    7. Limitation of Liability

    The Provider is only liable for damages caused by gross negligence or wilful misconduct. Liability for indirect damages and loss of profit is excluded. Total liability is capped at the amount paid by the Customer in the preceding 12 months.

    8. Governing Law and Jurisdiction

    Swiss law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Kreuzlingen, Switzerland.
