3. Billing & Payment
- Current pricing is displayed in the billing section
- A monthly licence per location. Only people who log in are counted
- Credit card payment (in-app)
- All prices are net. VAT may apply depending on location
- Monthly cancellation possible
- Price changes with 3 months notice
- Sending SMS is not included in the licence. The clinic may send SMS through its own ASPSMS account and pays the provider directly. For SMS sent through Viali's account, Viali UG may charge a usage-based fee (per SMS part); the price and the start date are announced at least 3 months in advance
- If no valid payment method is on file, or a payment is still open 10 days after it is due, Viali UG may limit access to reading. Reading all data, the data export and help with data access and security remain available at all times. Paid additional services (e.g. SMS through Viali's account, AI features) and all other support are suspended during the limitation. Full access is restored as soon as the payment is made. If the payment remains open, Viali UG may terminate under Section 7
4. Data Ownership & Privacy
- Patient data remains exclusive property of the clinic
- Subject to the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation (GDPR)
- Hosted on Exoscale servers (Switzerland)
5. Security & Limitation of Liability
- Provider implements reasonable security measures and regular backups
- No liability for data loss, breaches, or damages from software bugs or improper account use
- Maximum liability limited to fees paid in prior 12 months
6. Support
- Standard Support: response within business hours. Guaranteed response times are part of Premium Support. Viali UG fixes outages that affect the whole service with priority
- Included in the licence price: Standard Support through the service portal in the app (tickets created directly in Viali), Mon-Fri 8-18 CET
- Phone support is not included in the licence and is available as Premium Support (add-on)
- Support is owed to a clinic that has accepted the current version of these Terms. Viali UG always helps with data access, data export and security incidents
7. Termination, Data Export and Discontinuation
- Either party may terminate the subscription with one month's notice to the end of a calendar month
- Until the end of the notice period the clinic may use the service without restriction; the fee is owed until then. At the clinic's request, use can then be extended month by month (e.g. to complete a move to another system) at the existing fee
- On termination the clinic receives one full export of its data, free of charge, within 30 days. The export contains the structured data in CSV or JSON format, the stored documents and images as original files with an index, and the patient records as PDF. Viali UG does not owe a conversion into the format of another system
- Viali UG deletes the clinic data 30 days after delivery of the export, unless the clinic asks in writing for a longer period
- If Viali UG discontinues the service, it informs the clinic at least 6 months in advance and delivers the export before the service ends
- If the clinic does not accept a new version of these Terms, the version it last accepted continues to apply. Either party may terminate the contract under this section
8. Jurisdiction
All disputes are handled by the courts in Konstanz, Germany.
